Acceptance of Terms

By accessing or using the Website, creating an account, or purchasing any Product, you agree that you have read, understood, and agree to be legally bound by these Terms of Use, our Privacy Policy, and all applicable laws and regulations. These Terms constitute a binding legal agreement between you and BioLongevity Labs.

If you are accessing the Website or purchasing Products on behalf of an entity — such as a corporation, university, research institution, or laboratory — you represent and warrant that you have the authority to bind that entity to these Terms, and the term “you” shall refer to both you individually and that entity.

Research Use Only — Critical Notice

Company Status Declaration

BioLongevity Labs is a chemical supplier. BioLongevity Labs is not a compounding pharmacy or chemical compounding facility as defined under Section 503A of the Federal Food, Drug, and Cosmetic Act (21 U.S.C. § 353a). BioLongevity Labs is not an outsourcing facility as defined under Section 503B of the Federal Food, Drug, and Cosmetic Act (21 U.S.C. § 353b).

Purchaser Acknowledgments

By placing any order, you expressly acknowledge, represent, and warrant that:

• You are purchasing Products solely for in vitro laboratory research, pharmaceutical research, or development of new analytical tests;
• You will not administer any Product to yourself, any other human being, or any animal;
• You will not use any Product to diagnose, treat, cure, mitigate, or prevent any disease or health condition in any patient or subject;
• You are not purchasing Products for resale to end consumers or for distribution as finished consumer products;
• You have verified that the purchase, possession, and use of the Products you are ordering is legal in your jurisdiction;
• You are acting in compliance with all applicable federal, state, local, and international laws and regulations;
• You are a qualified researcher, laboratory professional, or authorized institutional representative with appropriate training and credentials for handling research chemicals;
• You understand that misuse of RUO products is illegal and may result in civil and/or criminal liability.

Eligibility & Accounts

Age Requirement

You must be at least 18 years of age to use this Website or purchase any Products. By using the Website, you represent and warrant that you are at least 18 years old. We reserve the right to request proof of age at any time and to cancel orders if we believe a purchaser is under 18.

Account Registration

Access to the Product catalog, pricing, and purchasing requires creation of a registered account. To create an account, you must provide accurate, complete, and current information, including your name, institutional affiliation (where applicable), email address, and shipping address. You agree to update this information promptly if it changes.

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify BioLongevity Labs immediately at the contact address in Section 13 if you become aware of any unauthorized use of your account.

Account Termination

BioLongevity Labs reserves the right, in its sole discretion, to suspend or terminate any account at any time, with or without notice, for any reason — including but not limited to violation of these Terms, suspected fraudulent activity, or provision of false registration information. We may refuse service to any person or entity for any lawful reason.

Products & Orders

Product Descriptions

BioLongevity Labs endeavors to ensure that all Product descriptions, purity specifications, and COA information are accurate and current. However, we do not warrant that Product descriptions or other Website content is completely error-free. All Products are subject to availability.

Pricing

All prices listed on the Website are in canada Dollars (CAD) and are subject to change without notice. BioLongevity Labs reserves the right to correct pricing errors at any time, including after an order has been placed. In the event of a pricing error, we will notify you and provide the option to confirm your order at the correct price or cancel for a full refund.

Order Acceptance

Submission of an order does not constitute a binding contract until accepted by BioLongevity Labs. We reserve the right to refuse or cancel any order for any reason, including but not limited to: suspected violation of these Terms, inability to verify identity or institutional affiliation, supply limitations, or jurisdictional restrictions. If your order is cancelled after payment, you will receive a full refund.

Shipping & International Orders

You are solely responsible for understanding and complying with all import regulations, customs requirements, and applicable laws governing the receipt of research chemicals in your jurisdiction. BioLongevity Labs provides required commercial documentation (COA, MSDS, RUO declarations) to support customs clearance, but makes no warranty regarding customs outcomes in any jurisdiction. Title and risk of loss for Products pass to you upon delivery to the carrier.

Returns & Refunds

Due to the nature of research chemical products, all sales are generally final. Returns may be accepted at BioLongevity Labs’ sole discretion in cases of verified Product defect, incorrect shipment, or documented damage in transit. Please contact us within 7 days of receipt if you believe you have received a defective or incorrect Product.

Prohibited Uses

In addition to other restrictions set forth in these Terms, you expressly agree that you will not:

1. Use any Product for human or animal administration, for diagnostic purposes, or for therapeutic purposes of any kind;
2. Resell, redistribute, or transfer any Product to any person who has not agreed to these Terms and RUO requirements;
3. Use the Website or any Product in violation of any applicable law, regulation, or ordinance;
4. Provide false, misleading, or fraudulent information during registration, account creation, or order placement;
5. Attempt to circumvent any access controls, security measures, or geographic restrictions on the Website;
6. Use any automated means — including bots, scrapers, or data mining tools — to access, collect, or copy any content from the Website without express written permission;
7. Engage in any conduct that interferes with or disrupts the operation of the Website or the servers and networks connected to the Website;
8. Use any Product in any manner that violates applicable FDA regulations, Health Canada, or any other federal, state, or local regulatory requirement;
9. Represent to any third party that Products purchased from BioLongevity Labs are approved, licensed, or regulated for human use;
10. Use the Website or Products in connection with any fraudulent scheme or unlawful enterprise.

Intellectual Property

All content on this Website — including but not limited to text, graphics, logos, product descriptions, COA documents, research guides, blog posts, images, and the overall design and compilation of the Website — is the property of BioLongevity Labs or its content suppliers and is protected by applicable United States and international intellectual property laws.

BioLongevity Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for your personal and non-commercial research purposes consistent with these Terms. This license does not include the right to: (a) sell or commercially exploit any Website content; (b) reproduce, distribute, or publicly display any content without express written permission; (c) modify, adapt, translate, or create derivative works from Website content; or (d) use any data mining, robots, or similar data gathering tools.

Any unauthorized use of Website content will terminate the limited license granted herein and may violate copyright, trademark, and other applicable laws.

These Terms of Use and any dispute arising out of or relating to these Terms, the Website, or the Products shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof — including the determination of the scope or applicability of this agreement to arbitrate — shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to binding arbitration administered under the rules of the American Arbitration Association (AAA), with arbitration to be conducted in Delaware.

Class Action Waiver

You agree that any arbitration or other legal proceeding will be conducted solely on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration with respect to any claim related to these Terms or the Products.

Injunctive Relief

Notwithstanding the foregoing, BioLongevity Labs may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.

Modifications to Terms

BioLongevity Labs reserves the right to revise, amend, or replace these Terms of Use at any time and in its sole discretion.
